  • Acted as lead counsel for RBSI and a syndicate of other lenders on a €1.455 billion capital call facility agreement for European investment firm Triton Partners. This facility amendment was particularly significant because the amendments included the addition of ESG provisions to convert the facility agreement into a sustainability-linked facility agreement.


Mourant handles the full range of financing transactions, including Islamic and fund finance, areas of particular growth for the group in 2021. Augmenting the transactional practice is a strong financial services regulatory team, where Simon Gould  and Sarah Huelin take the lead. Counsel James Daniel is building a strong finance practice and has significant experience advising borrowers and lenders. Mark Chambers  is the name to note for fund finance.   • Advised a global international banking and wealth management group in relation to the refinancing of the Millharbour Group through which the group’s lending was streamlined from an historic Senior/Mezzanine structure to a sole lender
  • Advised HSBC Bank plc on Project Wave, to refinance the existing indebtedness of the borrower group in connection with a portfolio of student housing properties in Scotland, England and Wales, consisting of 16 properties in total.


At Appleby, lawyers are noted for assisting borrowers and lenders, including multinationals, banks, private equity houses and sovereign wealth funds on cross-border finance transactions, utilising the firm’s offshore office network. The team is skilled in real estate finance, fund finance, leveraged finance, as well as handling insolvency and restructuring issuers. It is regularly instructed to handle the finance aspects of major public M&A deals. Managing partner James Gaudin  leads the department, and has significant expertise in financing transactions, as well as corporate restructurings and cross-border insolvencies. The firm, which is solidifying its presence in the Channel Islands, has a strong US private equity client base, which it advises on fund finance matters, as well as deals involving leveraged, real estate and Shariah-compliant finance, the latter being a specialism of practice head Mark Crichton.
